Terms of Service

The rules of the road.

Welcome to Deal Desk. These Terms of Service ("Terms") are a legal agreement between you and 2a Productions, Inc. ("we", "us", "Deal Desk"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use Deal Desk.

Deal Desk is $4 per month, with a 30-day free trial. No credit card required to start. You can cancel anytime from your dashboard.

1. Your account

  • You need to be at least 16 years old to use Deal Desk.
  • You're responsible for everything that happens under your account, including keeping your password safe.
  • One account per person — don't share credentials.
  • Give us accurate, up-to-date info.

2. Acceptable use

You agree not to:

  • Upload anything illegal, defamatory, malicious, or that infringes someone else's rights.
  • Reverse-engineer, scrape, or attempt to break the Service.
  • Use Deal Desk to send spam, phish, or harass anyone.
  • Resell, sublicense, or impersonate Deal Desk.
  • Use the Service to store regulated data we're not built for (e.g., HIPAA-covered PHI, government classified info, payment card numbers).

We may suspend or terminate accounts that violate these rules.

3. Your content

You keep ownership of everything you put into Deal Desk — deal notes, accounts, contacts, transcripts, etc. By using the Service you grant us a limited, revocable license to host, store, process, and display your content solely to provide the Service to you. We don't claim any rights beyond that, and we don't train AI models on your data.

4. AI features

Deal Desk uses third-party AI providers (OpenAI) to power features like the Deal Assistant and transcription. AI outputs are provided as-is and can be inaccurate. Always review AI-generated summaries before relying on them for important decisions. Don't paste content into the AI features that you wouldn't want sent to an external API.

5. Third-party integrations

If you connect Google, Salesforce, Zoom, Stripe, or any other third-party service, your use of those services is governed by their own terms. We're not responsible for downtime, data loss, or policy changes by those providers. You can disconnect any integration from Settings.

6. Subscription & payments

  • Deal Desk is $4 per month, billed via Stripe. Every new account starts with a 30-day free trial — no credit card required.
  • If we change pricing, we'll give existing subscribers at least 30 days' notice by email before the change takes effect.
  • You can cancel from your dashboard at any time. Cancellation takes effect at the end of the current billing period.
  • Payments are processed by Stripe under their terms. We do not store or process card details ourselves.
  • Subscription fees are non-refundable except where required by law.

7. Service availability

We aim for high uptime but don't guarantee it. The Service is provided "as is" and"as available", without warranties of any kind, express or implied. We may change, suspend, or discontinue parts of the Service with reasonable notice.

8. Limitation of liability

To the maximum extent permitted by law, Deal Desk's total liability to you for any claim arising out of or related to the Service is limited to the greater of (a) $100 or (b) what you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost deals, or data loss — even if we were advised of the possibility.

9. Indemnification

You agree to defend and indemnify Deal Desk from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

10. Termination

You can delete your account at any time from Settings or by emailing support@deal-desk.xyz. We can suspend or terminate accounts for material breach of these Terms or to comply with the law. Sections of these Terms that by their nature should survive termination (ownership, liability, indemnification, governing law) survive.

11. Changes to these Terms

We may update these Terms. If we make material changes, we'll update the "Last updated" date and notify active users by email. Continued use after the change means you accept the new Terms.

12. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in New York County, New York, and you and we both consent to that jurisdiction.
